Noile cerin\u021be vor afecta at\u00e2t procesele de recrutare, c\u00e2t \u0219i raportarea intern\u0103 iar lipsa preg\u0103tirii poate duce la conflicte, reclama\u021bii sau chiar la sanc\u021biuni.\n  <\/p>\n<p style=\"text-align: left; margin: 16px 0; border: none; outline: none;\">\n    <strong>Ce obliga\u021bii noi apar:<\/strong>\n  <\/p>\n<ul style=\"text-align: left; border: none; outline: none;\">\n<li><strong>Salariul devine obligatoriu \u00een anun\u021burile de angajare<\/strong>&nbsp;\u2013 candida\u021bii trebuie s\u0103 vad\u0103 clar nivelul sau intervalul salarial \u00eenainte de a aplica.<\/li>\n<li><strong>Angaja\u021bii pot cere informa\u021bii privind pozi\u021bionarea lor salarial\u0103<\/strong> fa\u021b\u0103 de colegii care fac aceea\u0219i munc\u0103 sau una cu o valoare similar\u0103.<\/li>\n<li><strong>Criteriile de stabilire a salariilor trebuie comunicate transparent<\/strong>, iar angajatorii trebuie s\u0103 demonstreze c\u0103 acestea sunt obiective \u0219i nediscriminatorii.<\/li>\n<li><strong>Raportarea diferen\u021belor de remunerare \u00eentre femei \u0219i b\u0103rba\u021bi&nbsp;<\/strong>devine obligatorie pentru firmele cu cel pu\u021bin 100 de angaja\u021bi:\n<ul>\n<li>peste 250 de angaja\u021bi \u2192 raport anual<\/li>\n<li>\u00eentre 100\u2013249 de angaja\u021bi \u2192 raport o dat\u0103 la 2\u20133 ani<\/li>\n<li>sub 50 de angaja\u021bi \u2192 posibil\u0103 scutire (decizia final\u0103 r\u0103m\u00e2ne la statul rom\u00e2n)<\/li>\n<\/ul>\n<\/li>\n<li><strong>Angajatorii vor informa anual salaria\u021bii despre dreptul<\/strong> lor de a solicita \u00een scris informa\u021bii privind salariile medii din firm\u0103, defalcate pe sexe.<\/li>\n<\/ul>\n<p style=\"text-align: left; margin: 16px 0; border: none; outline: none;\">\n    <strong>Realitatea din pia\u021b\u0103<\/strong>\n  <\/p>\n<p style=\"text-align: left; margin: 16px 0; border: none; outline: none;\">\n    Potrivit unui <a style=\"color: #1038e0; font-weight: 400; text-decoration: underline; border: none; outline: none;\" href=\"https:\/\/www.avocatnet.ro\/articol_70488\/Transparen%C8%9Ba-salariilor-va-fi-obligatorie-din-2026-ins%C4%83-mul%C8%9Bi-angajatori-inc%C4%83-nu-sunt-preg%C4%83ti%C8%9Bi-s%C4%83-o-aplice.html\" target=\"_blank\">studiu recent<\/a>, <strong>peste 60% dintre angajatorii rom\u00e2ni nu sunt preg\u0103ti\u021bi<\/strong> s\u0103 implementeze aceste cerin\u021be. Principala dificultate? Ast\u0103zi continu\u0103m cu un subiect care \u00eei afecteaz\u0103 direct pe to\u021bi antreprenorii: <strong>noile reguli pentru acordarea dividendelor<\/strong>.\n  <\/p>\n<p style=\"text-align: left; margin: 16px 0; border: none; outline: none;\">\n    Scopul acestor m\u0103suri este clar: s\u0103 <strong>previn\u0103 decapitalizarea artificial\u0103<\/strong> a firmelor \u2013 adic\u0103 situa\u021biile \u00een care ac\u021bionarii scot bani din companie (prin dividende sau \u00eemprumuturi) \u00eenainte ca firma s\u0103 fie stabil\u0103 financiar.\n  <\/p>\n<p style=\"text-align: left; margin: 16px 0; border: none; outline: none;\">\n    <strong>\ud83d\udd19 Recapitulare rapid\u0103 din edi\u021bia trecut\u0103<\/strong>\n  <\/p>\n<p style=\"text-align: left; margin: 16px 0; border: none; outline: none;\">\n    Nu mai po\u021bi da \u00eemprumuturi ac\u021bionarilor \u00eenainte s\u0103 regularizezi dividendele interimare. Dac\u0103 firma ta acord\u0103 <strong>dividende interimare<\/strong> (trimestrial, \u00eenainte de bilan\u021bul anual), <strong>nu vei putea oferi \u00eemprumuturi sau avansuri c\u0103tre ac\u021bionari<\/strong> p\u00e2n\u0103 c\u00e2nd aceste dividende nu sunt regularizate complet la finalul anului.\n  <\/p>\n<p style=\"text-align: left; margin: 16px 0; border: none; outline: none;\">\n    \ud83d\udccc <strong>Pe scurt<\/strong>: Nu mai po\u021bi folosi firma ca \u201ebancomat personal&#8221; \u00eenainte ca situa\u021bia financiar\u0103 s\u0103 fie finalizat\u0103. Dac\u0103 regula e \u00eenc\u0103lcat\u0103, at\u00e2t compania, c\u00e2t \u0219i ac\u021bionarul care a primit \u00eemprumutul vor r\u0103spunde solidar pentru obliga\u021biile fiscale nepl\u0103tite.\n  <\/p>\n<p style=\"text-align: left; margin: 16px 0; border: none; outline: none;\">\n    <strong>Sanc\u021biuni:<\/strong> amenzi \u00eentre <strong>10.000 \u0219i 200.000 lei<\/strong>. \u26a0\ufe0f\n  <\/p>\n<p style=\"text-align: left; margin: 16px 0; border: none; outline: none;\">\n    <strong>Ce alte reguli intr\u0103 \u00een vigoare<\/strong>\n  <\/p>\n<p style=\"text-align: left; margin: 16px 0; border: none; outline: none;\">\n    \ud83d\udeab <strong>Nu po\u021bi distribui dividende dac\u0103 activul net e sub jum\u0103tate din capitalul social<\/strong> -&gt; Dac\u0103 valoarea <strong>activului net<\/strong> (total active minus total datorii) scade sub <strong>50% din capitalul social<\/strong>, compania <strong>nu poate distribui dividende<\/strong> p\u00e2n\u0103 c\u00e2nd acest activ net nu este reechilibrat.\n  <\/p>\n<p style=\"text-align: left; margin: 16px 0; border: none; outline: none;\">\n    La fel, <strong>orice pierderi raportate din anii preceden\u021bi trebuie acoperite<\/strong> \u00eenainte ca societatea s\u0103 poat\u0103 \u00eemp\u0103r\u021bi dividende.\n  <\/p>\n<p style=\"text-align: left; margin: 16px 0; border: none; outline: none;\">\n    <strong>Sanc\u021biuni:<\/strong> Amenzi \u00eentre <strong>10.000 \u0219i 200.000 lei<\/strong> dac\u0103 nu respec\u021bi regula. \u26a0\ufe0f\n  <\/p>\n<p style=\"text-align: left; margin: 16px 0; border: none; outline: none;\">\n    <strong>\ud83d\udcca Exemplu concret:<\/strong>\n  <\/p>\n<p style=\"text-align: left; margin: 16px 0; border: none; outline: none;\">\n    S\u0103 zicem c\u0103 \u00een 2025 firma ta iese pe pierdere de <strong>-100.000 lei<\/strong>, iar \u00een 2026 ob\u021bii un profit de <strong>200.000 lei<\/strong>.\n  <\/p>\n<p style=\"text-align: left; margin: 16px 0; border: none; outline: none;\">\n    <strong>Ce se \u00eent\u00e2mpl\u0103 cu dividendele:<\/strong>\n  <\/p>\n<ol style=\"list-style: decimal; text-align: left; border: none; outline: none;\">\n<li><strong>Mai \u00eent\u00e2i acoperi pierderea din 2025 (100.000 lei) din profitul anului 2026.<\/strong><\/li>\n<li><strong>Abia apoi po\u021bi distribui dividende din suma r\u0103mas\u0103: 200.000 \u2013 100.000 = 100.000 lei.<\/strong><\/li>\n<\/ol>\n<p style=\"text-align: left; margin: 16px 0; border: none; outline: none;\">\n    <strong>Concluzia:<\/strong> Nu po\u021bi scoate tot profitul de 200.000 lei sub form\u0103 de dividende, ci doar ce r\u0103m\u00e2ne dup\u0103 acoperirea pierderilor anterioare.\n  <\/p>\n<p style=\"text-align: left; margin: 16px 0; border: none; outline: none;\">\n    <strong>\ud83e\uddfe Concepte importante de re\u021binut<\/strong>\n  <\/p>\n<p style=\"text-align: left; margin: 16px 24px; border: none; outline: none;\">\n    <strong>Activul net<\/strong> = diferen\u021ba dintre totalul activelor (conturile firmei, stocuri de marf\u0103, facturi ne\u00eencasate, investi\u021bii, bunuri materiale \u0219i nemateriale) \u0219i totalul datoriilor pe care le are firma.\n  <\/p>\n<p style=\"text-align: left; margin: 16px 24px; border: none; outline: none;\">\n    <strong>Pierderi raportate (neacoperite)<\/strong> = pierderi financiare din anii anteriori care nu au fost \u00eenc\u0103 compensate prin profituri ulterioare.
