De obicei, motivul e flexibilitate sau optimizare, dar aici apare \u0219i \u00eentrebarea: e legal \u0219i sigur?<\/p>\n\n\n\n<p>Afl\u0103 din acest articol c\u00e2nd aceast\u0103 practic\u0103 a dublei \u00eencadr\u0103ri este legal\u0103 \u0219i avantajoas\u0103, care \u00eei sunt riscurile, dar \u0219i limitele, \u0219i cum te po\u021bi bucura de beneficii f\u0103r\u0103 sanc\u021biuni.<\/p>\n\n\n\n<div class=\"wp-block-yoast-seo-table-of-contents yoast-table-of-contents\"><h2>Cuprins<\/h2><ul><li><a href=\"#h-contract-de-colaborare-vs-contract-individual-de-munca\" data-level=\"2\">Contract de colaborare vs. contract individual de munc\u0103<\/a><\/li><li><a href=\"#h-po\u021bi-avea-cim-contract-de-colaborare-cu-aceea\u0219i-firma\" data-level=\"2\">Po\u021bi avea CIM + contract de colaborare cu aceea\u0219i firm\u0103?<\/a><\/li><li><a href=\"#h-cum-po\u021bi-evita-reincadrarea-colaborarii-ca-rela\u021bie-de-munca\" data-level=\"2\">Cum po\u021bi evita re\u00eencadrarea colabor\u0103rii ca rela\u021bie de munc\u0103?<\/a><\/li><\/ul><\/div>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"h-contract-de-colaborare-vs-contract-individual-de-munca\">Contract de colaborare vs. contract individual de munc\u0103<\/h2>\n\n\n\n<p><a href=\"https:\/\/startco.ro\/blog\/ce-este-contractul-de-colaborare\/\" target=\"_blank\" rel=\"noreferrer noopener\">Contract de colaborare<\/a> e un termen folosit \u00een practic\u0103 pentru mai multe tipuri de contracte civile (prest\u0103ri servicii\/antrepriz\u0103\/mandat), \u00een func\u021bie de situa\u021bie \u0219i de cum e organizat\u0103 activitatea. Dar ideea de baz\u0103 r\u0103m\u00e2ne tot timpul aceea\u0219i: \u00een colaborare nu ar trebui s\u0103 existe subordonarea specific\u0103 unui CIM.<\/p>\n\n\n\n<p>\u00centr-o colaborare real\u0103, rela\u021bia este una de egalitate \u00eentre p\u0103r\u021bi: ai autonomie asupra modului de lucru, livrezi un rezultat\/serviciu, \u00ee\u021bi asumi riscuri, po\u021bi avea \u0219i al\u021bi clien\u021bi, folose\u0219ti resurse proprii etc.<\/p>\n\n\n\n<p>De cealalt\u0103 parte, CIM-ul este contractul prin care salariatul presteaz\u0103 munc\u0103 pentru \u0219i sub autoritatea angajatorului, \u00een schimbul unui salariu. Asta implic\u0103, natural, subordonare, reguli interne, program, evalu\u0103ri, disciplin\u0103 etc.<\/p>\n\n\n\n<p>Cele dou\u0103 contracte au reglement\u0103ri legale diferite, conform prevederilor a dou\u0103 acte normative diferite:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong><a href=\"https:\/\/startco.ro\/blog\/contractul-de-munca-ce-clauze-trebuie-sa-contina-model-pentru-prima-angajare\/\" target=\"_blank\" rel=\"noreferrer noopener\">Contractul de munc\u0103<\/a><\/strong> este reglementat de <strong>Codul Muncii<\/strong> \u0219i implic\u0103 o <strong>rela\u021bie de subordonare<\/strong>. Asta \u00eenseamn\u0103 c\u0103 angajatul trebuie s\u0103 respecte programul de lucru, s\u0103 \u00eendeplineasc\u0103 sarcinile trasate de angajator \u0219i s\u0103 fie remunerat pentru timpul de munc\u0103. La r\u00e2ndul s\u0103u, angajatorul trebuie s\u0103 respecte drepturile angajatului, s\u0103-i asigure condi\u021biile de lucru \u0219i s\u0103 \u00eel pl\u0103teasc\u0103 pentru munca prestat\u0103.<br><\/li>\n\n\n\n<li>Pe de alt\u0103 parte, <strong>contractul de colaborare<\/strong> este un contract care intr\u0103 sub inciden\u021ba <strong>Dreptului Civil sau este reglementat de alte legi speciale, \u00een func\u021bie de specificul activit\u0103\u021bii.<\/strong> Spre deosebire de contractul de munc\u0103, cel de colaborare presupune o <strong>rela\u021bie de egalitate \u00eentre p\u0103r\u021bi<\/strong> \u0219i nu implic\u0103 subordonare. Asta \u00eenseamn\u0103 c\u0103 serviciile sunt prestate f\u0103r\u0103 un program de lucru strict sau cu instruc\u021biuni detaliate din partea firmei beneficiare.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"h-po\u021bi-avea-cim-contract-de-colaborare-cu-aceea\u0219i-firma\">Po\u021bi avea CIM + contract de colaborare cu aceea\u0219i firm\u0103?<\/h2>\n\n\n\n<p>Pornind de la reglement\u0103rile legale, se poate stabili faptul c\u0103 pentru a avea simultan cele dou\u0103 contracte diferite cu aceea\u0219i firm\u0103, <strong>este esen\u021bial ca serviciile din contractul de colaborare s\u0103 nu presupun\u0103 o rela\u021bie de subordonare<\/strong>. Pe l\u00e2ng\u0103 asta, pentru a avea dubl\u0103 \u00eencadrare cu aceea\u0219i firm\u0103, mai trebuie s\u0103 \u00eendepline\u0219ti urm\u0103toarele condi\u021bii:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Separarea activit\u0103\u021bilor desf\u0103\u0219urate<\/strong>: este important s\u0103 prestezi o activitate diferit\u0103 (un cod CAEN distinct) pe contractul de colaborare, fa\u021b\u0103 de munca prestat\u0103 pe CIM. Asta reduce ambiguit\u0103\u021bile.<\/li>\n\n\n\n<li>Redactarea contractului cu precizarea clar\u0103 a <strong>condi\u021biilor contractuale <\/strong>referitoare la <strong>program, sarcini, condi\u021bii de lucru <\/strong>\u0219i<strong>remunerare<\/strong>.<\/li>\n<\/ul>\n\n\n\n<p><strong>De re\u021binut:<\/strong> toate condi\u021biile de mai sus trebuie respectate cu stricte\u021be. Altfel, ITM \u0219i ANAF pot considera c\u0103 prin aceste practici de dubl\u0103 \u00eencadrare a raporturilor de munc\u0103 se \u00eencearc\u0103:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>ocolirea legisla\u021biei &#8211; \u00een scopul reducerii <a href=\"https:\/\/startco.ro\/blog\/care-sunt-taxele-pentru-un-salariat\/\" target=\"_blank\" rel=\"noreferrer noopener\">obliga\u021biilor de plat\u0103<\/a> (prin eliminarea contribu\u021biilor sociale \u0219i a unor drepturi salariale)<\/li>\n\n\n\n<li>\u0219i flexibilizarea rela\u021biei de munc\u0103 &#8211; conferit\u0103 de contractul de colaborare.<\/li>\n<\/ul>\n\n\n\n<p>Cele mai evidente semne c\u0103 o colaborare arat\u0103 ca un CIM mascat (\u0219i cre\u0219te riscul \u00een ochii ANAF-ului \u0219i ai ITM-ului) sunt:<\/p>\n\n\n\n<figure class=\"wp-block-table\"><table><thead><tr><th>Dac\u0103 se \u00eent\u00e2mpl\u0103 asta\u2026<\/th><th>\u2026se apropie de CIM (risc mai mare)<\/th><th>\u2026se apropie de colaborare (risc mai mic)<\/th><\/tr><\/thead><tbody><tr><td>Program<\/td><td>program fix, pontaj, 8 ore\/zi<\/td><td>program flexibil, focus pe livrabile<\/td><\/tr><tr><td>Control<\/td><td>\u0219ef direct, task-uri zilnice, proceduri stricte<\/td><td>autonomie \u00een execu\u021bie, control pe rezultat<\/td><\/tr><tr><td>Loca\u021bie<\/td><td>obligativitate la sediu \/ \u00een echip\u0103<\/td><td>lucrezi de oriunde (dac\u0103 natura muncii permite)<\/td><\/tr><tr><td>Instrumente<\/td><td>firm\u0103 \u00ee\u021bi d\u0103 tot (laptop, conturi, acces) + reguli de utilizare ca la angajat<\/td><td>folose\u0219ti \u00een principal resurse proprii<\/td><\/tr><tr><td>Exclusivitate<\/td><td>nu ai voie s\u0103 ai al\u021bi clien\u021bi<\/td><td>po\u021bi avea \u0219i al\u021bi clien\u021bi<\/td><\/tr><tr><td>Acela\u0219i rol<\/td><td>acela\u0219i tip de munc\u0103 ca \u00een fi\u0219a postului<\/td><td>alt tip de servicii, separat \u0219i documentat<\/td><\/tr><tr><td>Remunerare<\/td><td>lun\u0103 de lun\u0103, sum\u0103 fix\u0103<\/td><td>tarif per proiect\/serviciu, milestone-uri, acceptan\u021b\u0103<\/td><\/tr><\/tbody><\/table><figcaption class=\"wp-element-caption\">Diferen\u021be CIM vs. contract de colaborare<\/figcaption><\/figure>\n\n\n\n<p id=\"h-care-sunt-consecin\u021bele\"><strong>Care sunt consecin\u021bele?<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>reclasificarea contractului de colaborare ca fiind unul de munc\u0103<\/strong> \u0219i recunoa\u0219terea \u00eentregii perioade ca fiind una de munc\u0103.<\/li>\n\n\n\n<li>obligarea angajatorului la <strong>plata contribu\u021biilor sociale<\/strong> \u0219i a altor drepturi salariale.<\/li>\n\n\n\n<li>\u00een anumite situa\u021bii se pot aplica chiar <strong>amenzi.<\/strong><\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"h-cum-po\u021bi-evita-reincadrarea-colaborarii-ca-rela\u021bie-de-munca\">Cum po\u021bi evita re\u00eencadrarea colabor\u0103rii ca rela\u021bie de munc\u0103?<\/h2>\n\n\n\n<p><strong>1) \u021aine cont de criteriile de activitate independent\u0103<\/strong><\/p>\n\n\n\n<p>Pentru a evita \u00eencadrarea rela\u021biei de colaborare ca fiind una de angajare trebuie s\u0103 te asiguri c\u0103 respec\u021bi cel pu\u021bin 4 din cele 7 criterii pentru \u00eencadrarea ca activitate independent\u0103:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>dispui de libertatea de alegere a locului \u0219i a modului de desf\u0103\u0219urare a activit\u0103\u021bii, dar \u0219i a programului de lucru<\/li>\n\n\n\n<li>dispui de libertatea de a desf\u0103\u0219ura activitatea pentru mai mul\u021bi clien\u021bi<\/li>\n\n\n\n<li>\u00ee\u021bi asumi riscurile inerente activit\u0103\u021bii<\/li>\n\n\n\n<li>\u00ee\u021bi desf\u0103\u0219ori activitatea folosind mijloacele proprii<\/li>\n\n\n\n<li>activitatea din contractul de colaborare este realizat\u0103 de tine, ca persoana fizic\u0103 prin utilizarea capacit\u0103\u021bii tale&nbsp; intelectuale \u0219i\/sau a presta\u021biei fizice&nbsp;<\/li>\n\n\n\n<li>faci parte dintr-un corp sau organism profesional (medici, contabili, avoca\u021bi etc)<\/li>\n\n\n\n<li>dispui de libertatea de a-\u021bi desf\u0103\u0219ura activitatea folosind persoane angajate sau prin colaborare cu ter\u021be persoane<\/li>\n<\/ul>\n\n\n\n<p><strong>2) F\u0103 separarea vizibil\u0103 \u0219i \u00een acte<\/strong> <\/p>\n\n\n\n<p>\u00cen contractul de colaborare (\u0219i \u00een anexele lui), ajut\u0103 mult s\u0103 existe:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>obiect clar: <strong>ce livrezi<\/strong> (servicii, rezultat, proiect)<\/li>\n\n\n\n<li>termene + criterii de acceptan\u021b\u0103<\/li>\n\n\n\n<li>tarifare logic\u0103 (proiect\/milestone\/or\u0103 de consultan\u021b\u0103, dar f\u0103r\u0103 a copia structura unui salariu)<\/li>\n\n\n\n<li>clauz\u0103 de autonomie (f\u0103r\u0103 program impus, f\u0103r\u0103 control de tip angajator)<\/li>\n\n\n\n<li>posibilitatea de a lucra \u0219i pentru al\u021bi clien\u021bi <\/li>\n\n\n\n<li>documente de livrare (ex. proces-verbal \/ raport de activitate)<\/li>\n<\/ul>\n\n\n\n<p><strong>3) Aten\u021bie la clauzele din CIM: confiden\u021bialitate, fidelitate, neconcuren\u021b\u0103<\/strong><\/p>\n\n\n\n<p>Chiar dac\u0103 fiscal\/juridic colaborarea e ok, <strong>CIM-ul t\u0103u<\/strong> poate avea clauze care te limiteaz\u0103.De exemplu, <strong>clauza de neconcuren\u021b\u0103<\/strong> exist\u0103 doar dac\u0103 este negociat\u0103 \u0219i presupune o indemniza\u021bie lunar\u0103 care este <strong>de cel pu\u021bin 25% din salariu<\/strong>; ea poate produce efecte \u0219i dup\u0103 \u00eencetarea CIM (\u00een anumite limite).<\/p>\n\n\n\n<p>Altfel spus, \u00eenainte s\u0103 semnezi colaborarea, verific\u0103 dac\u0103 nu intri \u00eentr-un conflict contractual.<\/p>\n\n\n\n<p><strong>4) Exemple utile<\/strong><\/p>\n\n\n\n<p><strong>Exemplul 1 \u2013 variant\u0103 mai safe<\/strong><\/p>\n\n\n\n<p>E\u0219ti angajat pe CIM ca <strong>account manager<\/strong>. \u00cen paralel, pe <a href=\"https:\/\/startco.ro\/blog\/ce-firma-va-fi-mai-avantajoasa-in-2024-srl-sau-pfa\/\" target=\"_blank\" rel=\"noreferrer noopener\">PFA\/SRL<\/a>, livrezi firmei <strong>training-uri punctuale<\/strong> pentru echip\u0103 (workshop-uri, materiale, sesiuni), cu livrabile \u0219i perioade clar definite. Activitatea e separat\u0103, are rezultat, nu implic\u0103 subordonare zilnic\u0103.<\/p>\n\n\n\n<p><strong>Exemplul 2 \u2013 variant\u0103 riscant\u0103<\/strong><\/p>\n\n\n\n<p>E\u0219ti <a href=\"https:\/\/startco.ro\/blog\/programatori-in-2024-cim-srl-sau-pfa\/\" target=\"_blank\" rel=\"noreferrer noopener\">developer pe CIM<\/a> \u0219i firma vrea s\u0103 mute o parte din acelea\u0219i task-uri (acelea\u0219i tool-uri, acelea\u0219i stand-up-uri, acela\u0219i lead, aceea\u0219i echip\u0103), dar facturate lunar pe PFA\/SRL. Aici seam\u0103n\u0103 puternic cu acela\u0219i job, dar alt\u0103 form\u0103. Iar asta e exact genul de zon\u0103 gri care poate duce la re\u00eencadrare.<\/p>\n\n\n\n<p><strong>Exemplul 3 \u2013 cum ajut\u0103 documentarea<\/strong><\/p>\n\n\n\n<p>E\u0219ti contabil pe CIM, iar pe colaborare faci <strong>secretariat<\/strong>. Dac\u0103 \u021bii activit\u0103\u021bile separate \u0219i ai dovad\u0103 (proces-verbal\/raport + factur\u0103), scazi mult riscul de interpretare.<\/p>\n\n\n\n<p>Dac\u0103 e\u0219ti interesat de \u00eencheierea unui astfel de contract de colaborare <a href=\"https:\/\/startco.ro\/blog\/ce-alternative-exista-la-contractul-individual-de-munca\/\" target=\"_blank\" rel=\"noreferrer noopener\">\u00een detrimentul angaj\u0103rii tradi\u021bionale<\/a>, trebuie s\u0103 te asiguri c\u0103 \u00eendepline\u0219ti toate aspectele juridice \u0219i economice, iar pentru asta, recomandarea ar fi s\u0103 apelezi la o persoan\u0103 specializat\u0103 pentru redactarea contractului.<\/p>\n\n\n\n<div class=\"schema-faq wp-block-yoast-faq-block\"><div class=\"schema-faq-section\" id=\"faq-question-1772002279478\"><strong class=\"schema-faq-question\">Dac\u0103 am alt cod CAEN, sunt acoperit 100%?<\/strong> <p class=\"schema-faq-answer\">Nu. Ajut\u0103 la separare, dar nu e 100% safe. Conteaz\u0103 realitatea rela\u021biei: autonomie, riscuri, program, livrabile.<\/p> <\/div> <div class=\"schema-faq-section\" id=\"faq-question-1772002380844\"><strong class=\"schema-faq-question\">Se poate re\u00eencadra retroactiv colaborarea?<\/strong> <p class=\"schema-faq-answer\">Da, \u00een scenariile \u00een care autorit\u0103\u021bile consider\u0103 c\u0103
