Pentru <a href=\"https:\/\/startco.ro\/blog\/sediu-social-si-punct-de-lucru-la-aceeasi-adresa\/\" target=\"_blank\" rel=\"noreferrer noopener\">sediu social<\/a>, \u00een practic\u0103 vorbim aproape mereu de un imobil (apartament\/cas\u0103\/spa\u021biu).<\/p>\n\n\n\n<p>Dac\u0103 ai nevoie de un model de contract de comodat, g\u0103se\u0219ti unul clar \u0219i rapid aici: <strong><a href=\"https:\/\/startco.ro\/blog\/wp-content\/uploads\/Model_Contract_Comodat_SediuSocial_SRL.docx\" target=\"_blank\" rel=\"noreferrer noopener\">Model contract de comodat<\/a><\/strong>.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"h-legalitate-ce-verifici-inainte-sa-semnezi\">Legalitate: ce verifici \u00eenainte s\u0103 semnezi?<\/h2>\n\n\n\n<ol class=\"wp-block-list\">\n<li>La \u00eencheierea contractului, ambele p\u0103r\u021bi trebuie s\u0103 aib\u0103 capacitatea de a semna acte de administrare (adic\u0103 s\u0103 poat\u0103 \u00eencheia legal contractul).<\/li>\n\n\n\n<li><a href=\"https:\/\/startco.ro\/blog\/unde-se-poate-stabili-sediul-social-pentru-srl\/\" target=\"_blank\" rel=\"noreferrer noopener\">Adresa sediului social<\/a> trebuie s\u0103 fie \u00eentr-o construc\u021bie finalizat\u0103 (nu \u201ecas\u0103 \u00een construc\u021bie\u201d, nu \u201edoar teren\u201d).<\/li>\n\n\n\n<li>Dac\u0103 imobilul are \u00eenscris uzufruct\/drept de abita\u021bie\/\u00eentre\u021binere, contractul trebuie semnat \u0219i de persoana care are acel drept (altfel ri\u0219ti s\u0103 nu ai un drept de folosin\u021b\u0103 \u201ecurat\u201d).<\/li>\n\n\n\n<li>Imobil cump\u0103rat prin credit bancar? Verific\u0103 actele de credit\/ipotec\u0103 \u0219i discut\u0103 cu banca. Pentru unele produse (ex. programe garantate), banca poate condi\u021biona folosirea imobilului ca sediu (uneori e nevoie de acord).<\/li>\n\n\n\n<li>Contractul poate fi \u00eencheiat:\n<ul class=\"wp-block-list\">\n<li>fie la notar (form\u0103 autentic\u0103),<\/li>\n\n\n\n<li>fie sub semn\u0103tur\u0103 privat\u0103 (f\u0103r\u0103 notar) \u2013 varianta cea mai frecvent\u0103 pentru sediu social.<\/li>\n<\/ul>\n<\/li>\n<\/ol>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"h-drept-de-semnatura-cine-semneaza-\u0219i-cum\">Drept de semn\u0103tur\u0103: cine semneaz\u0103 \u0219i cum?<\/h2>\n\n\n\n<ol class=\"wp-block-list\">\n<li>Contractul trebuie semnat de p\u0103r\u021bile contractante. Dac\u0103 semneaz\u0103 altcineva \u00een locul proprietarului, acel om trebuie s\u0103 fie \u00eemputernicit (procur\u0103).<\/li>\n\n\n\n<li>Contractul de comodat pentru sediul social se face \u00eentre de\u021bin\u0103torul spa\u021biului (comodant) \u0219i firm\u0103 (comodatar). Chiar dac\u0103 tu e\u0219ti proprietarul spa\u021biului, tot vei semna \u201etu \u2013 persoan\u0103 fizic\u0103\u201d cu \u201efirma ta \u2013 persoan\u0103 juridic\u0103\u201d.<\/li>\n\n\n\n<li>Dac\u0103 firma:\n<ul class=\"wp-block-list\">\n<li>este deja \u00eenfiin\u021bat\u0103: treci denumirea, CIF, reprezentantul legal.<\/li>\n\n\n\n<li>este \u201e\u00een curs de \u00eenfiin\u021bare\u201d: treci denumirea conform rezerv\u0103rii + men\u021biunea \u201e\u00een curs de \u00eenfiin\u021bare\u201d, apoi datele reprezentantului; ulterior po\u021bi face act adi\u021bional cu CIF-ul.<\/li>\n<\/ul>\n<\/li>\n<\/ol>\n\n\n\n<p><strong>Care sunt p\u0103r\u021bile contractante?<\/strong><\/p>\n\n\n\n<p>\u00cen contractul de comodat sunt implicate dou\u0103 p\u0103r\u021bi: comodantul \u2013 cel care transfer\u0103 dreptul de folosin\u021b\u0103 \u0219i  comodatarul \u2013 firma, care prime\u0219te dreptul de a-\u0219i declara sediul social la adresa imobilului. Poate fi comodatar persoana care inten\u021bioneaz\u0103 s\u0103 \u00ee\u0219i \u00eenfiin\u021beze:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><a href=\"https:\/\/startco.ro\/infiintare-srl\" target=\"_blank\" rel=\"noreferrer noopener\">o societate comercial\u0103 (SRL)<\/a><\/li>\n\n\n\n<li>o \u00eentreprindere familial\u0103(IF)<\/li>\n\n\n\n<li>ori individual\u0103 (II)<\/li>\n\n\n\n<li><a href=\"https:\/\/startco.ro\/infiintare-pfa\" target=\"_blank\" rel=\"noreferrer noopener\">sau un PFA<\/a><\/li>\n<\/ul>\n\n\n\n<p>Poate fi comodant orice persoan\u0103 care are dreptul de a folosi bunul, dac\u0103 nu i s-a interzis prin lege sau prin contract. At\u00e2t comodantul, c\u00e2t \u0219i comodatarul pot fi, at\u00e2t persoane fizice, c\u00e2t \u0219i persoane juridice.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"h-alte-lucruri-de-care-sa-\u021bii-cont\">Alte lucruri de care s\u0103 \u021bii cont <\/h2>\n\n\n\n<p><strong>1. <a href=\"https:\/\/startco.ro\/blog\/ai-sediul-social-in-apartament-afla-ce-taxe-si-impozite-trebuie-sa-platesti\/\" target=\"_blank\" rel=\"noreferrer noopener\">Sediu social \u00een apartament de bloc<\/a>: ai nevoie de acordul vecinilor?<\/strong><\/p>\n\n\n\n<p>Depinde de un lucru simplu: se desf\u0103\u0219oar\u0103 activitate la sediu sau nu?<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Dac\u0103 NU se desf\u0103\u0219oar\u0103 activitate la sediul social<\/strong>: nu este necesar avizul\/acceptul legat de schimbarea destina\u021biei, dac\u0103 administratorul declar\u0103 pe propria r\u0103spundere c\u0103 la sediu nu se desf\u0103\u0219oar\u0103 activitate.<\/li>\n\n\n\n<li><strong>Dac\u0103 se desf\u0103\u0219oar\u0103 activitate<\/strong> (birou efectiv, flux de clien\u021bi, angaja\u021bi, depozitare etc.), atunci intri \u00een zona de acorduri\/avize pentru schimbarea destina\u021biei spa\u021biului, conform regulilor aplicabile condominiilor.<\/li>\n<\/ul>\n\n\n\n<p>Dac\u0103 folose\u0219ti adresa doar pentru coresponden\u021b\u0103 \u0219i \u201epe acte\u201d, de regul\u0103 e mult mai simplu.<\/p>\n\n\n\n<p><strong>2. Care sunt obliga\u021biile p\u0103r\u021bilor implicate \u00eentr-un contract de comodat?<\/strong><\/p>\n\n\n\n<p><strong>Comodatarul are obliga\u021bia<\/strong>:<\/p>\n\n\n\n<ol class=\"wp-block-list\">\n<li>de a folosi bunul doar \u00een conformitate cu destina\u021bia agreat\u0103 \u00een contract<\/li>\n\n\n\n<li>de nu permite unui ter\u021b utilizarea bunului f\u0103r\u0103 aprobarea comodantului<\/li>\n\n\n\n<li>de a r\u0103spunde pentru pierderea sau deteriorarea bunului \u00een cazul folosirii bunului cu alt\u0103 destina\u0163ie dec\u00e2t cea pentru care i-a fost \u00eemprumutat sau al prelungirii utiliz\u0103rii<\/li>\n\n\n\n<li>de a restitui bunul \u00eemprumutat la \u00eemplinirea termenului convenit<\/li>\n<\/ol>\n\n\n\n<p><strong>Comodantul are obliga\u021bia<\/strong>:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>de a-l desp\u0103gubi pe comodatar pentru pagubele provocate de viciile ascunse ale bunului dat \u00een folosin\u021b\u0103, pe care, de\u0219i le cuno\u0219tea la \u00eencheierea contractului, nu le-a adus la cuno\u0219tin\u021ba comodatarului ( art. 2152 C.Civ).<\/li>\n<\/ul>\n\n\n\n<p><strong>3. Clauze care merit\u0103 puse (ca s\u0103 evi\u021bi probleme mai t\u00e2rziu)<\/strong><\/p>\n\n\n\n<p>\u00centr-un contract de comodat pentru firm\u0103, cele mai utile (\u0219i des uitate) sunt:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Destina\u021bia exact\u0103<\/strong>: \u201efolosin\u021b\u0103 gratuit\u0103 \u00een scop de sediu social\u201d + (foarte util) \u201ef\u0103r\u0103 desf\u0103\u0219urare activitate la sediu\u201d, dac\u0103 asta e situa\u021bia.<\/li>\n\n\n\n<li><strong>Durata<\/strong>: determinat\u0103 (ex. 1\u20133 ani) sau nedeterminat\u0103 + reguli de \u00eencetare.<\/li>\n\n\n\n<li><strong>Cine pl\u0103te\u0219te cheltuielile<\/strong>: utilit\u0103\u021bi \/ \u00eentre\u021binere \/ repara\u021bii (m\u0103car la nivel de principiu).<\/li>\n\n\n\n<li><strong>Interdic\u021bia de subcomodat\/sub\u00eenchiriere f\u0103r\u0103 acord<\/strong>.<\/li>\n\n\n\n<li><strong>Predare\u2013primire \u0219i restituire<\/strong>: c\u00e2nd \u0219i cum se elibereaz\u0103 spa\u021biul.<\/li>\n<\/ul>\n\n\n\n<p>E bine de \u0219tiut c\u0103 comodantul poate cere restituire anticipat\u0103 \u00een anumite situa\u021bii (nevoie urgent\u0103, \u00eenc\u0103lcarea obliga\u021biilor etc.).<\/p>\n\n\n\n<p>Pentru ONRC, de cele mai multe ori ajunge un contract sub semn\u0103tur\u0103 privat\u0103. Dar dac\u0103 vrei protec\u021bie suplimentar\u0103 (mai ales pentru proprietar), mai e util de \u0219tiut c\u0103, \u00een ceea ce prive\u0219te obliga\u021bia de restituire, contractul de comodat poate deveni titlu executoriu dac\u0103 e:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>\u00een form\u0103 autentic\u0103 sau<\/li>\n\n\n\n<li>sub semn\u0103tur\u0103 privat\u0103 cu dat\u0103 cert\u0103, \u00een condi\u021biile legii<\/li>\n<\/ul>\n\n\n\n<p><strong>4. Comodat vs. \u00eenchiriere pentru sediul social (diferen\u021ba care conteaz\u0103)<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Comodat<\/strong>: gratuit (nu ai chirie), \u00een practic\u0103 mai simplu ca \u201ebirocra\u021bie fiscal\u0103\u201d pentru proprietar.<\/li>\n\n\n\n<li><strong>\u00cenchiriere<\/strong>: dac\u0103 proprietarul este persoan\u0103 fizic\u0103, exist\u0103 obliga\u021bia de \u00eenregistrare la ANAF a contractului (\u0219i a modific\u0103rilor) \u00een termenul legal (\u00een practic\u0103, se folose\u0219te formularul C168).<\/li>\n<\/ul>\n\n\n\n<p>De asta, pentru sediu social \u201ela p\u0103rin\u021bi \/ la tine acas\u0103\u201d, comodatul e, de multe ori, alegerea natural\u0103.<\/p>\n\n\n\n<div class=\"schema-faq wp-block-yoast-faq-block\"><div class=\"schema-faq-section\" id=\"faq-question-1766130806408\"><strong class=\"schema-faq-question\">Contractul de comodat trebuie \u00eenregistrat la ANAF?<\/strong> <p class=\"schema-faq-answer\">\u00cen mod obi\u0219nuit, nu (spre deosebire de \u00eenchiriere). Obliga\u021bia clar\u0103 de \u00eenregistrare la ANAF vizeaz\u0103 contractele de loca\u021biune\/\u00eenchiriere ale persoanelor fizice, prin procedura ANAF (C168).<\/p> <\/div> <div class=\"schema-faq-section\" id=\"faq-question-1766130867573\"><strong class=\"schema-faq-question\">Pot face comodat dac\u0103 imobilul e cump\u0103rat cu credit ipotecar?<\/strong> <p class=\"schema-faq-answer\">Depinde de contractul t\u0103u cu banca. Uneori trebuie acordul b\u0103ncii (mai ales \u00een produse garantate).<\/p> <\/div> <div class=\"schema-faq-section\" id=\"faq-question-1766130878789\"><strong class=\"schema-faq-question\">Ce
